Business (Subscriber): The merchant, professional enterprise, or legal entity registering for free or paid SaaS subscription and declaring corporate credentials electronically ("Business").

§2. Subject and Scope of Software License

This Agreement governs the provision of a cloud-based (SaaS) software subscription license for appointment booking, live calendar coordination, specialist staff management, and CRM operations.

Buluyo does not provide outbound commercial SMS gateways; all automated operational communications are delivered through mobile push notifications and transactional email.

§3. Exclusion of Consumer Protection Legislation (Commercial TTK/TBK Rule)

The Business subscribes to and uses Buluyo exclusively for professional, commercial, and operational trade purposes.

The parties mutually acknowledge and declare that this Agreement constitutes a commercial contract under the Turkish Commercial Code (TTK) and Turkish Code of Obligations (TBK). Consumer Protection Law No. 6502 and Consumer Right of Withdrawal are STRICTLY INAPPLICABLE to the Business. The Business shall not claim consumer rights or protections under any circumstances.

§4. Free Plan Scope and Quota Limits (Freemium)

Buluyo may grant the Business access to a Free Tier (Freemium) with core capabilities. The Free Tier is subject to strict quota limits on monthly appointment volume, active staff seats, branch numbers, and notification allowances.

Upon reaching quota limits, the software automatically restricts further booking intake or staff additions until the Business upgrades to a Paid Tier.

§5. Service Continuity, SLA Target and Liability Limitation

Buluyo targets 99% annual uptime using commercially reasonable efforts. Liability is limited to the maximum extent permitted by law in the event of scheduled server maintenance, data center disruptions, infrastructure failures, or force majeure events; Buluyo cannot be held liable for disruptions resulting from scheduled maintenance.

Free Tier accounts are provided strictly on an 'AS-IS' basis without any Service Level Agreement (SLA) commitment or compensation rights. Buluyo shall not be liable for any downtime, service interruptions, or resulting loss of profits or indirect damages.

§6. Unilateral Modification and Free Tier Discontinuation

Buluyo reserves the unilateral right to amend Free Tier capabilities, feature sets, and quota allowances, or to sunset the Free Tier program entirely at its sole discretion.

Any material changes or tier terminations shall be announced with at least 15 (fifteen) days prior notice via registered email or in-app dashboard notification.

§7. Inactive Free Account Purge Policy (90-Day Rule)

Free Tier business accounts with no active user login for 90 (ninety) consecutive days are classified as "Inactive Accounts".

Buluyo reserves the right, following written notification to the registered email address, to suspend the inactive account or permanently delete all associated historical records and calendars.

§8. Tier Downgrade and Excess Data Handling

When downgrading from a Paid Tier to the Free Tier, features and entities exceeding Free Tier limits (such as extra staff profiles or advanced reporting modules) will be automatically disabled by the system.

The Business is solely responsible for exporting records and managing staff before initiating a downgrade.

§9. Fair Use Policy and Anti-Multi-Account Rule

Creating multiple free accounts for the same commercial enterprise, salon, branch, or owner to circumvent quota limits is strictly prohibited.

Where such violations are identified, Buluyo reserves the right to terminate all related accounts immediately without prior warning.

§10. Paid Tiers, Billing Cycles, Merchant of Record (Polar.sh) and Auto-Renewal

Buluyo Pro subscription rates and billing cycles (monthly or annual) are determined according to published platform pricing.

All order processing, payment collection, invoicing, and tax remittance (VAT, sales tax) are handled by Polar Software, Inc. (polar.sh) as our authorized Merchant of Record (MoR). Software licenses and platform services are provided by Buluyo (Batuhan Mutlu).

Subscriptions renew automatically at the end of each billing cycle unless cancelled by the Subscriber via the Buluyo Dashboard or Polar Customer Portal. Invoices and receipts are generated by Polar.

First-time subscribers are entitled to a 14-day unconditional money-back guarantee pursuant to our Cancellation and Refund Policy. Following the 14-day window, cancellations take effect at the conclusion of the billing cycle, retaining access until the period expires.

§11. Data Ownership, KVKK and Data Processor Role

All customer and appointment data inputted by the Business remains the exclusive property of the Business. When Businesses utilize Buluyo to manage their customers' appointments, pursuant to Turkish KVKK Law No. 6698, the Business acts as 'Data Controller' (Veri Sorumlusu) and Buluyo acts as 'Data Processor' (Veri İşleyen). Buluyo processes customers' personal data solely for service provision and under the Business's explicit instructions.
